Acceptance of these terms
These Terms of Service (“Terms”) form a binding contract between you (“you,” “your”) and Iudex Route (“we,” “us,” “our”), governing your access to and use of the iudexroute.com website, the api.acbm.ai API, the dashboard, the SDKs, and any other software or service we make available (together, the “Service”).
By creating an account, generating an API key, or sending a request through our API, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Definitions
- Account — the user record you create when signing up.
- API Key — the credential you use to authenticate API requests.
- Customer Data — the content you submit through the Service (prompts, messages, metadata).
- Output — the response returned by an LLM Provider in response to your prompt.
- LLM Provider — a third-party language-model provider listed in our Privacy Policy (OpenAI, Anthropic, Google, xAI, DeepSeek, Groq, Together, and any added later).
- Documentation — the technical documentation we publish at iudexroute.com/docs.
Eligibility
You must be at least 18 years old and able to enter into a binding contract. If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.
You may not use the Service if you are barred from doing so under the laws of your country or the United States, or if you are on a relevant sanctions list.
Your account
- You are responsible for the activity that happens under your account and API keys, including any compute or third-party costs incurred.
- Keep your password and API keys confidential. Treat an API key like a password.
- Tell us immediately at iudexroute@gmail.com if you suspect a key has been compromised. You can revoke keys in the dashboard at any time.
- One person or organisation per account. Do not share an account or resell API keys without our written permission.
The Service
Iudex Route accepts OpenAI-compatible chat-completion requests, scores their difficulty, and forwards them to an LLM Provider it selects. It returns the Provider's response augmented with routing metadata.
Fees & billing
- Free-tier accounts receive a monthly compute allowance described on the pricing page. Once exhausted, requests return HTTP 402 until the quota resets or you upgrade.
- Paid plans are billed in advance for the next billing cycle. Overage above the included allowance is billed in arrears at the rates posted on the pricing page.
- All fees are exclusive of taxes; you are responsible for any applicable VAT, GST, or sales tax.
- Except where required by law, fees are non-refundable.
- If a charge fails, we may suspend the Service after notice. Reinstating a suspended account does not waive amounts owed.
Acceptable use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right (including IP, privacy, or contractual rights).
- Send content that is illegal, defamatory, hateful, or that promotes violence, child sexual abuse material, terrorism, or self-harm.
- Generate or disseminate disinformation, deceptive impersonation, non-consensual sexual content, or content that violates the Acceptable Use Policy of any LLM Provider we route to.
- Attempt to extract model weights, fine-tune on Outputs in violation of an LLM Provider's terms, or reverse engineer the routing system.
- Probe, scan, or test the vulnerability of the Service except via our security-disclosure process.
- Submit personal data of others without a lawful basis to do so.
- Use the Service to develop a product that competes directly with Iudex Route by replicating its routing logic.
- Resell, sublicense, or expose the Service to third parties as a standalone API without our written permission.
- Exceed published rate limits, circumvent quotas, or interfere with other customers' use of the Service.
You are responsible for ensuring that your end users comply with this Acceptable Use Policy when using your product on top of our Service.
AI output disclaimer
Outputs are generated by third-party LLM Providers based on the prompts you submit. They are produced by statistical models and:
- may be inaccurate, incomplete, misleading, or factually wrong;
- may include content that is offensive, biased, or otherwise undesirable;
- may not be unique to you — different users may receive similar Outputs for similar prompts;
- should not be relied on as medical, legal, financial, or other professional advice.
You are solely responsible for evaluating Outputs before relying on them or making them available to your users. You must independently verify any Output before using it in a context where accuracy, safety, or fairness matters.
Third-party providers
The Service routes requests to LLM Providers. Each Provider has its own terms, acceptable-use policy, and privacy policy that govern how that Provider handles your prompts and Outputs. By using the Service, you agree that:
- your Customer Data may be transmitted to whichever Provider the router selects;
- the Provider may apply its own content filters and may refuse or modify your request;
- we are not responsible for a Provider's acts, omissions, downtime, or terms;
- changes a Provider makes (deprecation, pricing, capability) may affect the Service without notice.
You can restrict which Providers your account uses through tier configuration in your dashboard.
Intellectual property
Our IP
We retain all rights, title, and interest in and to the Service, including the website, dashboard, API, SDKs, routing logic, scoring models, brand, and the Documentation. Nothing in these Terms transfers ownership to you. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes, subject to these Terms.
Your Customer Data
You retain all rights in your Customer Data. You grant us a worldwide, royalty-free licence to process Customer Data solely to provide the Service to you (including forwarding it to the selected LLM Provider) and to comply with law.
Outputs
As between you and us, you may use Outputs for any lawful purpose, subject to the terms of the LLM Provider that generated them. We make no representation about the copyrightability or ownership of Outputs; under the law of many jurisdictions, model-generated text may not be eligible for copyright protection.
Feedback
If you send us suggestions, ideas, or feature requests, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback to improve the Service, without obligation to you.
Confidentiality
Each party agrees to protect the other's non-public business and technical information disclosed in connection with the Service with the same degree of care it uses to protect its own confidential information (and in any event no less than reasonable care), and to use it only as needed to exercise rights or perform obligations under these Terms.
Suspension & termination
You may stop using the Service and delete your account at any time from the dashboard.
We may suspend or terminate your access without notice if:
- you breach these Terms or the Acceptable Use Policy;
- your use creates a security or legal risk for us or for other customers;
- a payment is overdue and unresolved after notice;
- we are required to do so by law or by an LLM Provider whose terms you have violated.
On termination, your right to use the Service ends. Sections of these Terms that by their nature should survive (IP, disclaimers, liability cap, indemnity, governing law) will survive.
Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT ANY OUTPUT WILL BE CORRECT, OR THAT ANY DEFECT WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions, the exclusions above apply to the maximum extent permitted by law.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY (NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS) WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.
The limitations in this section apply to claims of any kind (contract, tort, statutory, or otherwise) and survive termination of these Terms.
Indemnification
You agree to defend, indemnify, and hold harmless Iudex Route and its affiliates, officers, employees, and agents from and against any claim, loss, damage, liability, or expense (including reasonable lawyers' fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service in violation of these Terms or applicable law; (c) your use of Outputs; or (d) your breach of any LLM Provider's terms in connection with the Service.
Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email to account holders and/or by a notice in the dashboard at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may stop using the Service before the effective date.
Governing law & disputes
These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict-of-laws principles. The courts of New South Wales (and the federal courts of Australia sitting in Sydney) have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Before filing a claim, you agree to try to resolve the dispute informally by emailing iudexroute@gmail.com. If we cannot resolve it within 60 days, either party may proceed under the dispute-resolution mechanism above.
Nothing in these Terms limits any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or other non-excludable consumer-protection laws that apply to you. Where the Australian Consumer Law applies and a guarantee cannot be excluded, our liability for breach of that guarantee is limited (at our option) to re-supplying the Service or paying the cost of having the Service re-supplied.
Miscellaneous
- Entire agreement — these Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject.
- Severability — if any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver — failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment — you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure — neither party is liable for failure to perform due to causes beyond reasonable control (natural disaster, war, internet outage, third-party provider failure, government action).
- Independent contractors — nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
- Notices — we may notify you by email to the address on your account or by a notice in the dashboard. You may notify us at iudexroute@gmail.com.
